Chicken of the Sea shut down the plant last year, when it opened a facility in the United States.
The cannery was one of the largest employers on American Samoa, employing more than 2,000 people at one time.
“Tri Marine is negotiating a purchase agreement with Chicken of Sea conditional on Tri Marine securing a long term ground lease and other agreements with the American Samoa Government,” said Gov. Tulafono Togiola.
Tri Marine officials were on island last month to inspect and value the plant and to have detailed discussions with the governor, his office said.
